By accessing this website or purchasing services from Good Green LLC, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our website or services.
Services & Scope
Good Green LLC provides professional creative design services including, but not limited to: brand strategy, graphic design, web design, digital marketing, and related creative consultation. The specific services, deliverables, timeline, and fees for each project are detailed in individual project agreements, proposals, or statements of work ("Project Agreement"). If there is any conflict between these Terms and a Project Agreement, the Project Agreement will prevail for that specific project.
Payment Terms & Billing
Pricing: All prices quoted are in U.S. dollars and are valid for 30 days from the date of the proposal unless otherwise stated. Prices are subject to change with reasonable notice for recurring services.
Payment Schedule: Unless otherwise agreed in the Project Agreement:
- A non-refundable project deposit (typically 50%) is due upon project commencement
- The remaining balance is due upon project completion and delivery of final deliverables
- Late payments may accrue interest at 1.5% per month (18% annually)
Payment Processing: All payments are processed through Stripe, our third-party payment processor. By submitting payment information, you authorize us to charge the payment method you provide. You are responsible for maintaining accurate payment information.
Recurring Charges/Free Trials (if applicable): If you are enrolled in a recurring service or free trial that converts to paid, you have the right to cancel at any time with the same ease as signup. To cancel, contact us at hello@goodgreenpdx.com. Cancellation will be effective at the end of your current billing period.
Refunds & Cancellation Policy
Project-Based Services (Non-Refundable Deposits): The initial project deposit is non-refundable once work has commenced. If a client requests project cancellation after work has begun, the client is responsible for payment for work completed to date plus any third-party costs incurred.
Full Project Cancellations: If a client cancels a project before any work has begun, the deposit may be credited toward a future project or refunded at our discretion within 14 days. Cancellations after work has commenced are non-refundable for services rendered.
Service Defects: If we fail to deliver agreed-upon services due to our error, we will either re-do the work at no charge or refund the portion of fees attributable to the defective work.
Refund Timeline: Approved refunds will be processed to your original payment method within 7-10 business days.
Project Timelines & Communication
Timeline Establishment: Project timelines are established in the Project Agreement and begin after receipt of the signed agreement and initial deposit. Timelines are based on the assumption of timely client feedback and approval of project briefs, designs, and deliverables.
Client Responsibility: Delays in project completion caused by late client feedback, missing materials, or delayed approvals will extend the project timeline accordingly. We will notify you of revised timelines resulting from client delays.
Revision Rounds: The number of revision rounds (typically 2-3) included in your project will be specified in the Project Agreement. Additional revision rounds beyond the included number may be subject to additional fees (typically $50-150 per round depending on scope).
Communication Standards: We are committed to clear communication throughout your project. You can expect responses to emails within 2 business days and access to project updates via agreed-upon channels (email, project management tools, etc.).
Intellectual Property & Ownership
During Project (Before Payment): All original creative work, designs, concepts, and deliverables produced by Good Green remain our intellectual property until full payment has been received. You do not have rights to use any deliverables until payment is complete.
After Full Payment: Upon receipt of final payment, full ownership of the completed, final deliverables specified in your Project Agreement transfers to you. This includes the right to modify, reproduce, and use the deliverables for your business purposes.
Limitations on Ownership: Ownership transfer is limited to the specific deliverables outlined in your agreement. You do NOT receive ownership of:
- Source files, working files, or preliminary concepts
- Methodologies, processes, or templates we developed (unless explicitly agreed in writing)
- Brand assets, photography, or licensed content used in the deliverables
- Third-party software, frameworks, or open-source code integrated into web projects
Portfolio & Case Study Rights: Unless explicitly prohibited in writing, Good Green LLC retains the right to display completed work in our portfolio, case studies, presentations, and marketing materials. We may use your project as a reference, share results in testimonials, and showcase creative work to prospective clients. If you require confidentiality, this must be agreed in writing before project commencement (and may affect pricing).
Third-Party Content: All photography, illustrations, fonts, icons, and other third-party content licensed for your project remain subject to their original licenses. You are responsible for compliance with all licensing terms of third-party content included in your deliverables.
Trademark & Copyright: Your business name, logo, and brand identity are your exclusive trademark and copyright. Good Green claims no ownership of your trademarks or brand assets. However, Good Green retains the right to display your brand name in our portfolio and case studies.
Acceptable Use Policy
By using this website, you agree NOT to:
- Upload, transmit, or distribute viruses, malware, or harmful code
- Engage in harassment, defamation, or abusive behavior
- Attempt to gain unauthorized access to our systems or data
- Scrape, crawl, or automatically extract website content without permission
- Use the website for illegal purposes or to violate applicable laws
- Impersonate others or misrepresent your affiliation with Good Green

Results vary based on market conditions, implementation by the client, and factors outside our control.
Limitation of Liability: To the fullest extent permitted by law, Good Green's total liability arising from or related to this agreement shall not exceed the total amount paid by the client for the project in question. This limitation applies to all claims, whether based on breach of contract, negligence, strict liability, or any other legal theory.
Consequential Damages: Good Green shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages (including lost profits, lost revenue, lost business opportunity, or reputational harm) arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Good Green LLC, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from:
- Your use of our website or services in violation of these Terms
- Your content, materials, or information provided to us for your project
- Your violation of any applicable laws or third-party rights
- Your infringement of intellectual property rights (unless Good Green modified your content in a way that caused the infringement)
Termination of Services
Termination by Client: You may terminate a project agreement at any time by providing written notice. However, you remain responsible for payment for all work completed to date and any third-party costs incurred.
Termination by Good Green: We reserve the right to terminate our relationship with you if:
- You violate these Terms or our Acceptable Use Policy
- Payment is more than 30 days overdue
- The project involves illegal activities or unethical content
- Communication or feedback becomes abusive or disruptive
Effect of Termination: Upon termination, you are responsible for payment for all work completed to date. Deliverables will not be released until payment is received in full.
Dispute Resolution & Governing Law
Governing Law: These Terms of Use, Privacy Policy, and all related agreements are governed by the laws of the State of Oregon, without regard to its conflict of law provisions.
Jurisdiction: You consent to the exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon for any legal action arising from these Terms or your use of our services.
Informal Resolution: Before initiating any legal action, we encourage you to contact us at hello@goodgreenpdx.com to attempt informal resolution of any disputes.
Arbitration (Optional): If you prefer binding arbitration to court proceedings, either party may elect arbitration, which will be conducted in accordance with the American Arbitration Association (AAA) rules. Arbitration will take place in Portland, Oregon.

Good Green reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to this website.
